1. Agreement to Terms
These Terms of Service (“Terms”) govern your use of the services provided by 7th Step Society (“7SS,” “Company,” “we,” “our,” or “us”).
By accessing our website, scheduling a consultation, engaging our services, or entering into a service agreement with us, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our services.
2. Services
7th Step Society provides marketing-related services, which may include:
- Digital advertising management
- Marketing consulting
- Lead generation
- Email marketing
- SMS marketing
- Social media marketing
- Search engine marketing
- Marketing automation
- Website optimization
- Creative strategy
- Other related marketing services
Specific deliverables, timelines, and service details will be outlined in a separate proposal, invoice, statement of work, or service agreement.
3. No Guarantee of Results
While we strive to help our clients achieve meaningful business growth, we do not guarantee:
- Revenue increases
- Sales volume
- Lead volume
- Return on ad spend (ROAS)
- Search engine rankings
- Social media growth
- Website traffic increases
- Specific business outcomes
Marketing results depend on numerous factors outside our control, including market conditions, competition, pricing, product quality, customer demand, and client responsiveness.
Any examples, case studies, projections, or prior results shared by 7th Step Society are provided for illustrative purposes only and do not guarantee future performance.
4. Client Responsibilities
The client agrees to:
- Provide accurate information
- Supply necessary account access and permissions
- Respond to requests in a timely manner
- Review and approve deliverables when requested
- Maintain compliance with applicable laws and regulations
Delays caused by the client may affect project timelines and campaign performance.
7th Step Society is not responsible for performance issues resulting from incomplete information, delayed approvals, or failure to implement recommendations.
5. Payment Terms
Unless otherwise agreed in writing:
- Fees are due according to the invoice terms.
- Recurring services are billed monthly.
- Late payments may result in service suspension.
- Outstanding balances may be subject to collection efforts and applicable fees.
Advertising budgets paid to third-party platforms are separate from management fees and remain the responsibility of the client.
6. Refund Policy
All payments made to 7th Step Society are governed by our Refund Policy.
Marketing services involve the investment of time, expertise, and resources. As such, completed work, consulting services, strategy development, campaign setup, and active management services are generally non-refundable.
7. Intellectual Property
Unless otherwise agreed in writing:
Client-Owned Materials
The client retains ownership of materials provided to 7th Step Society, including:
- Logos
- Branding assets
- Product images
- Proprietary business information
Agency-Owned Materials
7th Step Society retains ownership of:
- Internal processes
- Methodologies
- Frameworks
- Templates
- Proprietary systems
- Training materials
Upon full payment, clients receive a license to use deliverables specifically created for their business.
8. Confidentiality
Both parties agree to keep confidential information private and not disclose such information to third parties unless required by law.
Confidential information includes:
- Business plans
- Financial information
- Marketing strategies
- Customer information
- Proprietary processes
9. Limitation of Liability
To the maximum extent permitted by law:
7th Step Society shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:
- Lost profits
- Lost revenue
- Lost business opportunities
- Data loss
- Business interruption
Our total liability for any claim related to our services shall not exceed the total amount paid to 7th Step Society during the three (3) months preceding the claim.
10. Indemnification
The client agrees to indemnify and hold harmless 7th Step Society, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:
- Client-provided content
- Client business practices
- Product or service claims
- Regulatory violations
- Intellectual property disputes involving client materials
11. Third-Party Platforms
Many services rely on third-party platforms, including:
- Google Ads
- Meta Business Tools
- LinkedIn Ads
- Shopify
- WordPress
We are not responsible for outages, policy changes, account suspensions, algorithm updates, or other actions taken by third-party platforms.
12. Termination
Either party may terminate services by providing written notice in accordance with the service agreement.
Upon termination:
- Outstanding invoices become immediately due.
- Access to agency-owned systems may be revoked.
- Work completed prior to termination remains billable.
13. Case Studies and Marketing Use
Unless otherwise agreed in writing, 7th Step Society may reference publicly available information about a client’s project for portfolio, marketing, case study, and promotional purposes.
Confidential information will not be disclosed without permission.
14. Governing Law
These Terms shall be governed by and construed under the laws of the State of Minnesota, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved in the appropriate courts located in Minnesota.
15. Changes to These Terms
We reserve the right to modify these Terms at any time.
Updated versions will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of any changes.

No Ownership of Advertising Accounts
Any advertising accounts owned by the client (Meta, Google, LinkedIn, etc.) remain the property of the client. 7th Step Society does not claim ownership of client advertising accounts, pixels, audiences, or business assets.
However, proprietary campaign structures, methodologies, templates, frameworks, and internal systems developed by 7th Step Society remain the intellectual property of 7th Step Society.
